1. About these terms
1.1 These Terms of Service ("Terms") govern access to and use of the Koralyze platform, reports, data files and related services (the "Services").
1.2 The Services are provided by KORALYZE FOR ARTIFICIAL INTELLIGENCE SERVICES - L.L.C, a limited liability company holding Abu Dhabi Economic Licence no. CN-6679007 issued by the Abu Dhabi Department of Economic Development, based in Abu Dhabi, United Arab Emirates ("Koralyze", "we", "us").
1.3 The Services are offered only to businesses and organisations, such as clubs, academies, federations, leagues, agencies and companies (each a "Customer"). The Services are not offered to consumers. By accepting these Terms, the person accepting confirms that they act for a business or organisation and have authority to bind it.
1.4 A Customer's order form, quote, proposal or online plan selection (an "Order") forms part of these Terms. If an Order conflicts with these Terms, the Order applies for that Order only.
1.5 Our Data Processing Agreement ("DPA") forms part of these Terms and applies to personal data we process on the Customer's behalf. Our Privacy Policy explains how we handle personal data where we act as controller.
2. Definitions
- Authorised User: a person the Customer allows to access its account, such as staff, coaches, analysts and, where the Customer chooses, its players.
- Customer Content: footage, rosters, team and match information and any other material the Customer or its Authorised Users upload.
- Outputs: tracking data, events, metrics, dashboards, highlights, reports and data files we produce from Customer Content.
- Match: one fixture, up to 120 minutes of play, sent as one recording from a single camera feed.
- Plan: a 12-month subscription with a yearly pool of Matches, as described in the Order.
- Match Pass: the purchase of a single Match without a Plan.
- Paid Pilot: a trial purchase of a set number of Matches, as described in the Order.
- Player-focused Match: a Match processed with a report on one or more named players.
- Viewer account: an account that lets a Customer view and analyse its own data files, without Koralyze processing footage.
- Credits: prepaid units that allow processing of a Match or report, as described in the Order.
- Turnaround Time: the processing time for a Plan, Match Pass or add-on, stated in the Order or plan description.
3. The Services
3.1 We process football footage with computer vision and machine learning models to produce Outputs. Processing may include detecting and tracking players and the ball, assigning teams, reading jersey numbers, and recognising the same player across matches within the Customer's own library.
3.2 Player recognition stays within each Customer. We store each Customer's players and player identities separately. Our systems do not compare or link players across different Customers.
3.3 Outputs are estimates. Outputs come from automated analysis and may be incomplete or inaccurate, for example when players are off camera, the ball is in the air, or footage quality is low. We do not guarantee any level of accuracy. We provide analysis and data, not recommendations. The Customer decides how to use Outputs and is responsible for those decisions.
3.4 Where the Customer uses Outputs to make decisions that significantly affect a player, such as selection or release, the Customer must apply its own human judgement and must not rely on Outputs alone.
3.5 We may change, improve or remove features. We will not materially reduce the core Services during a paid subscription term. A change that materially reduces the core Services applies to the Customer only from its next term.
4. Accounts and access
4.1 We create Customer accounts and the first administrator logins. The Customer is responsible for the Authorised Users it adds, for their compliance with these Terms, and for keeping login details secure.
4.2 Players and minors. The Customer may give access to its players. The Customer must not give a login to anyone under 13, or under the higher minimum age set by the law of the country where that person lives, unless the Customer has the consent of that person's parent or guardian and is satisfied that access is appropriate. The Customer is responsible for supervising access by minors.
4.3 The Customer must tell us without delay about any unauthorised use of its account.
5. Customer Content and the Customer's responsibilities
5.1 The Customer keeps all rights in Customer Content.
5.2 The Customer confirms, each time it uploads Customer Content, that:
- it owns the footage or has all rights and licences needed to upload it and to let us process it as described in these Terms, including footage recorded by third parties or broadcasters;
- it has a lawful basis under applicable data protection law to share the personal data in the footage and rosters with us, including for players who are children;
- it has given the players, and the parents or guardians of players who are children, the privacy information required by law, including information that the footage will be analysed by Koralyze and may be used to improve Koralyze's models as described in section 7;
- it has obtained any consent required by law, including the explicit consent of each player, or of a parent or guardian for each player under 18, for processing that recognises players by their physical appearance, which may be biometric data;
- it honours any opt-out given by a player or parent and does not upload footage of a player who has opted out, or tells us so we can exclude that player;
- the footage does not include changing rooms, toilets or other private areas, and does not focus on any player in a way that is unnecessary for football analysis.
5.2A Collecting consent. Where consent is needed, the Customer collects it, not Koralyze. The Customer must:
- collect a clear, written yes from each player, or from a parent or guardian for each player under 18, before uploading footage of that player. The Customer may use the consent form in Koralyze's club privacy notice template;
- keep a record of each consent, showing who gave it, when, and for what;
- give Koralyze a copy of these records within 5 business days if we ask, for example to answer a regulator or a parent;
- tell Koralyze without delay when a player or parent withdraws consent, so we can exclude that player.
If the Customer cannot show a required consent, we may exclude the footage or player concerned. Collecting consent through the Customer does not change Koralyze's own responsibility for the purposes where it is a controller.
5.3 Where the Customer uploads footage on behalf of a third party (for example, a player, an athlete or another club), the Customer confirms it is authorised by that third party and remains responsible to us under these Terms.
5.4 The Customer must not upload content that is unlawful, infringes the rights of others, or contains malware.
6. Licence to Koralyze
6.1 The Customer grants Koralyze a non-exclusive, worldwide, royalty-free licence to host, copy, process and analyse Customer Content to provide, secure and support the Services for the Customer.
6.2 Section 7 sets out a separate licence for model improvement.
7. Model improvement
7.1 Default. Unless the Customer opts out under section 7.3, the Customer grants Koralyze a non-exclusive, worldwide, royalty-free, perpetual licence to use Customer Content and Outputs, including corrections and annotations, to train, test and improve Koralyze's models and Services. Koralyze acts as an independent controller for this use, as described in the Privacy Policy.
7.2 Limits. For model improvement we:
- use the data only to develop and improve our models and Services;
- do not publish Customer Content or Outputs, and do not share them with other Customers;
- keep training copies for no longer than 24 months from upload;
- apply security measures described in the DPA.
7.3 Opting out. The Customer may opt out of model improvement at any time by writing to [email protected]. After an opt-out:
- we stop using the Customer's Content and Outputs for any new training;
- we delete the Customer's raw footage and annotation data held for training within 30 days;
- models already trained before the opt-out may keep what they learned. We cannot remove one Customer's contribution from trained model weights.
7.4 Individual players may also object to the use of their data for model improvement under the Privacy Policy.
8. Fees and payment
8.1 Fees are set out in the Order. We offer:
- Plans. A Plan runs for 12 months. The Customer pays the yearly fee up front, or in four quarterly payments at the higher price stated in the Order. Each quarterly payment unlocks that quarter's share of the yearly Matches. A Plan may limit the number of Matches processed in a month.
- Extra Matches for Plan holders, at the rate stated in the Order.
- Match Passes, each for one Match.
- Paid Pilots. If the Order says so, the Paid Pilot fee is credited against a Plan signed within 30 days of the Paid Pilot, and the Paid Pilot's Matches count toward that Plan's pool.
- Player-focused Matches, priced as one Match with one player report included. Each extra player report on the same Match is charged at the rate in the Order.
- Add-ons, such as express turnaround, processing of past matches, workshops and custom analysis, as stated in the Order.
- Viewer accounts, free or paid, as stated in the Order.
8.2 Currency. We invoice in the currency stated in the Order, which may be AED, GBP, EUR or USD.
8.3 Payment. The Customer pays by card or other method through our payment processor (Stripe) or by bank transfer, as stated in the Order. Invoices are due within 14 days unless the Order says otherwise.
8.4 Taxes. Fees exclude VAT and other taxes. Koralyze is not registered for UAE VAT and does not charge VAT. If Koralyze registers for VAT, we will add VAT to invoices at the applicable rate from the registration date and show our VAT registration number.
8.5 Renewal. Subscriptions end at the end of the term stated in the Order and do not renew automatically. To renew, the Customer must tell us before the term ends, and we will issue a new Order.
8.6 Unused Matches and Credits. Unused Matches roll over until the end of the Plan year and then lapse. They do not carry over to a new Plan unless the Order says otherwise. Credits and Match Passes expire 12 months after purchase.
8.7 Late payment. If an invoice is unpaid 14 days after its due date, we may suspend processing after giving the Customer written notice.
8.8 Price changes. We may change prices for a future renewal term by giving at least 30 days' notice, or the longer notice stated in the Order. Prices do not change during a paid term. Discounts apply only for the period stated in the Order.
9. Turnaround Time, credits and no refunds
9.1 We aim to deliver Outputs within the Turnaround Time for the Customer's Plan, Match Pass or add-on, which is between 36 and 72 hours, or less where the Customer buys express turnaround. Extra player reports and processing of past matches may have a longer Turnaround Time stated in the Order. The Turnaround Time starts when an upload is complete and the footage meets our technical requirements, and pauses while we wait for information we need from the Customer.
9.2 If we miss the Turnaround Time for a match, or cannot process a match because of a fault on our side, we will return the Credits or quota used for that match. For a per-report fee, we will deliver the report at no extra charge or give a credit of the same value toward a future report. This is the Customer's sole remedy for late delivery or processing failure.
9.3 Fees are non-refundable, and we do not pay back fees, Credits or quota in money, except where the law requires it. Section 9.2 and our Refund Policy set out when we return Credits, quota or report credits instead.
10. Data protection
10.1 For processing the Customer's footage to provide the Services, the Customer is the controller and Koralyze is the processor. The DPA applies.
10.2 Koralyze is a controller for its own account, billing, security and website data, for model improvement under section 7, and for data licensing under section 13.2 where the Customer opts in. The Privacy Policy applies.
11. Confidentiality and security
11.1 Each party keeps the other's confidential information confidential and uses it only for these Terms. Koralyze's staff and contractors who access Customer Content are bound by confidentiality obligations.
11.2 We apply the security measures described in the DPA.
12. Intellectual property
12.1 Koralyze owns the platform, software, models, model weights, methods and all improvements to them, including improvements made through section 7.
12.2 The Customer may use Outputs for its own football purposes, and may share them with its players, staff, agents, scouts and other third parties for those purposes. The Customer must not sell, license or distribute Outputs as a data product unless the Order allows it (for example, for a player platform that passes reports to its own clients). The Customer is responsible for any personal data it shares.
12.3 Player-focused Matches. Where the Customer does not hold the rights to the footage of other players in a Player-focused Match, we replace those players' names with codes in the Outputs. These Outputs can still relate to identifiable people and remain personal data.
12.4 The Customer must not copy, reverse engineer, scrape or resell the Services, or use the Services or Outputs to build a competing product or train another model.
12.5 If the Customer gives feedback, we may use it without obligation.
13. Publicity
13.1 We will not publish Customer Content or Outputs, or name the Customer as a client, without the Customer's prior written agreement.
13.2 Data licensing. If the Customer opts in to data licensing in its Order, Koralyze may license data from the Customer's Matches to third parties, such as leagues, other clubs, media, research organisations, sports data companies and betting data providers, on a non-exclusive basis. The Customer receives the revenue share stated in the Order. We license only:
- aggregated and anonymised statistics, from which no player, team or Match can be identified; and
- data about individual players from Matches in which every player is 18 or older.
We never license data about individual players under 18, footage, or data that recognises players by their appearance. Koralyze acts as an independent controller for data licensing. Without the Customer's opt-in, we do not license the Customer's data.
13.3 We may publish research or statistics that use only aggregated or anonymised data and contain no footage, player names or other details that identify a player, Customer or match.
14. Warranties and disclaimers
14.1 Each party confirms it has the power to enter into these Terms.
14.2 We will provide the Services with reasonable care and skill.
14.3 Except as stated in these Terms, the Services and Outputs are provided "as is". To the extent the law allows, we exclude all other warranties, including fitness for a particular purpose and accuracy of Outputs.
15. Liability
15.1 Nothing in these Terms limits liability that cannot be limited by law, including for fraud, or for death or personal injury caused by negligence.
15.2 Neither party is liable for loss of profits, revenue, business, goodwill or anticipated savings, or for indirect or consequential loss.
15.3 Each party's total liability under these Terms in any 12-month period is limited to the fees paid and payable by the Customer in that period.
15.4 The cap in section 15.3 does not apply to the Customer's obligations under section 5 and section 16, or to the Customer's payment obligations.
16. Indemnity
16.1 The Customer will indemnify Koralyze against claims, fines and costs arising from Customer Content, including claims that the Customer had no right to upload footage or had no lawful basis or consent for the personal data in it.
16.2 Koralyze will indemnify the Customer against third-party claims that the platform, as provided by us, infringes that third party's intellectual property rights. This does not cover Customer Content or Outputs derived from it.
17. Suspension and termination
17.1 We may suspend access if the Customer materially breaches these Terms, fails to pay, or if suspension is needed to prevent harm or comply with law. We will give notice where we can.
17.2 Either party may terminate these Terms if the other party materially breaches them and does not fix the breach within 30 days of written notice.
17.3 On termination or expiry:
- the Customer may export its Outputs for 30 days;
- we then delete Customer Content and Outputs held for the Customer, including player identities in its library, within 30 days after the export period, except copies held for model improvement under section 7 (unless the Customer has opted out), and copies we must keep by law;
- backups are overwritten within 30 days.
18. Changes to these Terms
We may update these Terms. We will give at least 30 days' notice of material changes by email or in the platform. A material change that reduces the Customer's rights applies to the Customer only from its next term or next Order. Changes required by law apply from the date stated in the notice.
19. General
19.1 Neither party is liable for delay caused by events outside its reasonable control.
19.2 The Customer may not transfer these Terms without our written consent. We may transfer them to a successor of our business.
19.3 If a provision is unenforceable, the rest of these Terms continue.
19.4 These Terms, the Order and the DPA are the entire agreement between the parties on their subject.
19.5 If these Terms are translated, the English version prevails, except where the law requires otherwise.
20. Governing law and disputes
20.1 These Terms are governed by the laws of the Emirate of Abu Dhabi and the federal laws of the United Arab Emirates.
20.2 The courts of the Emirate of Abu Dhabi have exclusive jurisdiction over any dispute arising from these Terms.
